1. Acceptance of Terms

These Terms of Service (the Terms) constitute a legally binding agreement between you (whether as an individual visitor browsing this website or as a representative of an organization) and Nanjing Du Pei De Network Technology Co., Ltd., a company duly organized and existing under the laws of the People's Republic of China, operating as Du Virtue (referred to herein as Du Virtue, we, us, or our).

By accessing, browsing, or using the website located at https://www.duvirtue.buzz (the Site), submitting a contact form, engaging our consulting services, or otherwise interacting with Du Virtue in any manner governed by these Terms, you acknowledge that you have read, understood, and agree to be bound by these Terms in full. If you do not agree to all of the terms and conditions set forth herein, you must discontinue use of the Site and our services immediately.

If you are using the Site or engaging our services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and your acceptance of these Terms shall be deemed acceptance by that organization. In such case, references to you in these Terms include both you as an individual and the organization you represent.

We reserve the right to modify these Terms at any time in our sole discretion. Material changes will be communicated by posting the updated Terms on this page with a revised Last Updated date. Your continued use of the Site or services after the posting of any modifications constitutes acceptance of the revised Terms. We encourage you to review these Terms periodically to stay informed of your rights and obligations.

2. Description of Services

Du Virtue provides professional technology consulting services in the domain of computer systems design and related services. Our service offerings include, but are not limited to:

  • System Architecture Consulting: Design and review of distributed systems, microservices topologies, event-driven architectures, and system integration patterns.
  • Cloud Infrastructure Advisory: Multi-cloud and hybrid cloud strategy, infrastructure-as-code implementation, platform engineering, observability design, and cost optimization.
  • Data Integration Engineering: Data pipeline architecture, ETL/ELT design, data lake and warehouse strategy, master data management, and real-time synchronization frameworks.
  • Cybersecurity Advisory: Threat modeling, zero-trust architecture design, security posture assessment, incident response planning, and regulatory compliance guidance.
  • AI/ML Consulting: Machine learning feasibility assessment, model lifecycle management, MLOps pipeline design, training infrastructure architecture, and production deployment strategy.
  • Digital Transformation: Legacy system modernization, technology stack rationalization, organizational capability assessment, and transformation roadmap development.

The specific scope, deliverables, timeline, fees, and terms of any consulting engagement shall be set forth in a separate written agreement — such as a Statement of Work, Engagement Letter, or Master Services Agreement — executed by both parties (the Service Agreement). In the event of any conflict between these Terms and a duly executed Service Agreement, the Service Agreement shall prevail with respect to the specific engagement it governs.

3. User Obligations and Acceptable Use

When using the Site or engaging our services, you agree to comply with all applicable local, national, and international laws, statutes, ordinances, and regulations, including but not limited to those of the People's Republic of China, the European Union, the United States, and any other jurisdiction in which you reside or from which you access our services.

You specifically agree that you will not:

  • Use the Site in any manner that could damage, disable, overburden, or impair the Site or interfere with any other party's use of the Site.
  • Attempt to gain unauthorized access to any portion of the Site, the server on which the Site is hosted, or any server, computer, or database connected to the Site through hacking, password mining, or any other means.
  • Introduce any viruses, Trojan horses, worms, logic bombs, or other malicious or technologically harmful material to the Site.
  • Use any robot, spider, scraper, or other automated means to access the Site for any purpose without our express prior written permission.
  • Misrepresent your identity, impersonate any person or entity, or falsely state or otherwise misrepresent your affiliation with a person or entity.
  • Use the Site to transmit any unsolicited or unauthorized advertising, promotional materials, spam, or any other form of solicitation.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any software used in connection with the Site or our services.
  • Violate any intellectual property rights, privacy rights, or other proprietary rights of Du Virtue or any third party.

You are responsible for ensuring that all information you provide to Du Virtue — including through our contact form, via email, or in the course of a client engagement — is accurate, current, and complete. Du Virtue shall not be liable for any loss, damage, or delay arising from your failure to provide accurate or complete information.

4. Intellectual Property Rights

4.1 Site Content

All content, materials, design elements, text, graphics, logos, icons, images, audio and video clips, software, code, and the selection and arrangement thereof displayed on the Site (collectively, the Site Content) are the exclusive property of Du Virtue or its licensors and are protected by applicable copyright, trademark, and other intellectual property laws of the People's Republic of China and international treaties.

Du Virtue grants you a limited, non-exclusive, non-transferable, revocable license to access and view the Site Content solely for your personal, non-commercial use in evaluating our services. You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any Site Content without our express prior written consent, except as incidental to normal browser caching and page rendering.

4.2 Trademarks

The name Du Virtue, the Du Virtue logo, the stylized D mark, and all related names, logos, product and service names, designs, and slogans are trademarks of Nanjing Du Pei De Network Technology Co., Ltd. or its affiliates. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Site are the trademarks of their respective owners.

4.3 Client Deliverables

Unless otherwise agreed in a written Service Agreement, Du Virtue retains all intellectual property rights in its pre-existing methodologies, frameworks, tools, templates, code libraries, and know-how used in the delivery of consulting services (Du Virtue IP). Subject to full payment of all fees due under the applicable Service Agreement, Du Virtue assigns to the client all right, title, and interest in the specific deliverables, documentation, and work product created exclusively for that client during the engagement, excluding Du Virtue IP. The precise allocation of intellectual property rights shall be governed by the terms of the applicable Service Agreement.

5. Confidential Information

In the course of our consulting engagements, each party may disclose to the other certain non-public, proprietary, or confidential information. Both parties agree to use such confidential information solely for the purposes of the engagement, to protect it with at least the same degree of care used to protect their own confidential information (but no less than reasonable care), and not to disclose it to any third party without the disclosing party's prior written consent.

Confidential information does not include information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was rightfully known by the receiving party prior to disclosure; (c) is rightfully obtained by the receiving party from a third party without restriction; or (d) is independently developed by the receiving party without reference to the confidential information. Disclosure required by law, regulation, or court order shall not be a breach of this provision, provided the receiving party gives the disclosing party reasonable prior notice where legally permitted.

6. Limitation of Liability

No Consequential Damages. To the fullest extent permitted by applicable law, in no event shall Du Virtue, its directors, officers, employees, agents, affiliates, successors, or assigns be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages of any kind — including but not limited to loss of profits, loss of revenue, loss of business opportunity, loss of data, loss of goodwill, business interruption, or cost of procurement of substitute services — arising out of or in connection with these Terms, the Site, or any consulting engagement, whether based on warranty, contract, tort (including negligence), statute, or any other legal theory, even if Du Virtue has been advised of the possibility of such damages.

Aggregate Liability Cap. To the fullest extent permitted by applicable law, the aggregate liability of Du Virtue for all claims arising out of or relating to these Terms, the Site, or any consulting engagement — whether in contract, tort, or otherwise — shall not exceed the greater of: (a) the total fees actually paid by you to Du Virtue in the twelve (12) months immediately preceding the event giving rise to liability; or (b) one thousand United States dollars (USD $1,000.00) where no fees have been paid.

Jurisdictional Limitations. Some jurisdictions do not allow the exclusion or limitation of certain damages or the limitation of liability for certain types of loss. In such jurisdictions, the liability of Du Virtue shall be limited to the maximum extent permitted by applicable law. Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be lawfully excluded or limited under applicable law.

7. Disclaimer of Warranties

The Site and all Site Content are provided on an as is and as available basis, without any representations or warranties of any kind, whether express or implied. To the fullest extent permitted by applicable law, Du Virtue disclaims all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, reliability, completeness, and those arising from course of dealing, course of performance, or usage of trade.

Without limiting the foregoing, Du Virtue does not warrant or represent that: (a) the Site will be available at all times, uninterrupted, secure, or error-free; (b) any errors or defects in the Site will be corrected; (c) the Site or the servers that make it available are free of viruses or other harmful components; or (d) the results that may be obtained from the use of the Site will be accurate or reliable.

Any consulting advice, architectural recommendations, or technical guidance provided by Du Virtue through the Site or in preliminary discussions is informational in nature and does not constitute professional engineering advice upon which you should rely without a formal engagement. Du Virtue disclaims all liability for actions taken or not taken based on preliminary or informal communications that occur outside the scope of a duly executed Service Agreement.

8. Indemnification

You agree to defend, indemnify, and hold harmless Du Virtue, its directors, officers, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

  • Your use of, or inability to use, the Site;
  • Your violation of any provision of these Terms;
  • Your violation of any applicable law, regulation, or third-party right, including any intellectual property right or privacy right;
  • Any information or content you provide to Du Virtue through the Site or in the course of a consulting engagement that is inaccurate, misleading, or infringes upon the rights of any third party; or
  • Any claim that arose from a Service Agreement and is attributable to your breach of obligations thereunder.

Du Virtue reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You shall not settle any claim that imposes any obligation or liability on Du Virtue without our prior written consent.

9. Termination

Termination by You. You may terminate these Terms at any time by ceasing all use of the Site and our services. Termination does not relieve you of any obligations accrued prior to the effective date of termination.

Termination by Du Virtue. We reserve the right, in our sole discretion and without prior notice or liability, to suspend or terminate your access to the Site or our services — in whole or in part — for any reason, including but not limited to: (a) your violation of these Terms; (b) conduct that we believe is harmful to other users, Du Virtue, or third parties; (c) requests by law enforcement or other government agencies; or (d) discontinuance or material modification of the Site or services.

Survival. The following provisions shall survive any termination of these Terms: Sections 4 (Intellectual Property Rights), 5 (Confidential Information), 6 (Limitation of Liability), 7 (Disclaimer of Warranties), 8 (Indemnification), 10 (Governing Law and Jurisdiction), 11 (Dispute Resolution), and 12 (General Provisions), together with any other provisions that by their nature should reasonably survive termination.

10. Governing Law and Jurisdiction

These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them or their subject matter or formation, shall be governed by and construed in accordance with the laws of the People's Republic of China, without regard to its conflict of laws principles.

The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply to these Terms or to any Service Agreement entered into between you and Du Virtue.

Subject to Section 11 (Dispute Resolution), the courts of the People's Republic of China sitting in the Gulou District of Nanjing shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms. You and Du Virtue each irrevocably submit to the personal jurisdiction of such courts and waive any objection to the laying of venue in such courts on grounds of forum non conveniens or otherwise.

11. Dispute Resolution

11.1 Informal Resolution

Du Virtue values its relationships with clients and users. Before initiating any formal dispute resolution proceeding, both parties agree to attempt to resolve any dispute informally. The party raising a dispute shall provide written notice to the other party describing the nature and basis of the dispute. Within thirty (30) calendar days of receipt of such notice, representatives of both parties with authority to resolve the dispute shall meet and confer — in person or via videoconference — and negotiate in good faith toward a mutually acceptable resolution.

11.2 Mediation

If the parties are unable to resolve a dispute through informal negotiation within sixty (60) calendar days of the initial notice, either party may refer the dispute to mediation. The mediation shall be administered by a mutually agreed mediator or, failing agreement, by a mediator appointed by the Nanjing Arbitration Commission. The mediation shall take place in Nanjing, People's Republic of China, or via videoconference at the mutual agreement of the parties. Each party shall bear its own costs of mediation, and the fees and expenses of the mediator shall be shared equally.

11.3 Arbitration

If the dispute is not resolved through mediation within ninety (90) calendar days of the initial notice described in Section 11.1, the dispute shall be finally settled by arbitration administered by the Nanjing Arbitration Commission in accordance with its Arbitration Rules in effect at the time of the submission. The arbitral tribunal shall consist of one arbitrator appointed in accordance with the said Rules. The seat of arbitration shall be Nanjing, People's Republic of China. The language of the arbitration shall be English, provided that documentary evidence may be submitted in Chinese with certified English translations where the tribunal so requires. The arbitral award shall be final and binding upon both parties, and judgment on the award may be entered in any court of competent jurisdiction.

11.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief from a court of competent jurisdiction to prevent the infringement, misappropriation, or violation of its intellectual property rights, confidential information, or other proprietary rights. Seeking such relief shall not constitute a waiver of the right to compel arbitration of any other dispute.

11.5 Class Action Waiver

To the fullest extent permitted by applicable law, you and Du Virtue agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, representative, or consolidated proceeding. Unless both you and Du Virtue agree otherwise, no arbitrator or court may consolidate or join more than one person's or entity's claims and may not otherwise preside over any form of a representative or class proceeding.

12. General Provisions

12.1 Entire Agreement

These Terms, together with our Privacy Policy and any Service Agreement entered into between you and Du Virtue, constitute the entire agreement between you and Du Virtue concerning your use of the Site and our services, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, whether written or oral, relating to such subject matter.

12.2 Severability

If any provision of these Terms is held by a court or arbitral tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its intent as closely as possible. If such modification is not possible, the provision shall be severed from these Terms, and the remaining provisions shall continue in full force and effect.

12.3 Waiver

No failure or delay by Du Virtue in exercising any right, power, or privilege under these Terms shall operate as a waiver thereof, nor shall any single or partial exercise of any such right, power, or privilege preclude any other or further exercise thereof or the exercise of any other right, power, or privilege. A waiver of any breach of any provision of these Terms shall not be deemed a waiver of any subsequent breach.

12.4 Assignment

You may not assign or transfer these Terms, or any rights or obligations hereunder, whether by operation of law or otherwise, without the prior written consent of Du Virtue. Any attempted assignment in violation of this provision shall be null and void. Du Virtue may assign these Terms, in whole or in part, without your consent to any affiliate or in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets.

12.5 Relationship of the Parties

Nothing in these Terms shall be construed to create a partnership, joint venture, agency, franchise, or employment relationship between you and Du Virtue. You have no authority to bind Du Virtue in any respect. Du Virtue performs consulting services as an independent contractor, and all personnel providing services are employees or contractors of Du Virtue, not of the client.

12.6 Force Majeure

Du Virtue shall not be liable for any delay or failure to perform its obligations under these Terms or any Service Agreement if such delay or failure arises from causes beyond its reasonable control, including but not limited to: acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, epidemics or pandemics, governmental orders or restrictions, failure or interruption of utility or telecommunications services, cyber attacks, or the unavailability of third-party platforms or services.

12.7 Notices

All notices, requests, consents, and other communications required or permitted under these Terms shall be in writing and delivered: (a) by email to office@duvirtue.buzz (for notices to Du Virtue) or to the email address you have provided to us (for notices to you); or (b) by registered or certified mail, postage prepaid, return receipt requested, to the address set forth in Section 12.8 (for notices to Du Virtue) or to the most recent physical address you have provided to us (for notices to you). Notice shall be deemed effective upon confirmation of delivery in the case of email, or five (5) business days after mailing in the case of postal delivery.
